Terms of Service

1. Scope

JoDev offers web development and digital consulting services: showcase websites, e-commerce stores, learning platforms, landing pages, custom web applications, as well as related technical and strategic consulting.

2. Single Point of Contact

JoDev operates as a solo independent consultant. The client works with a single point of contact from initial inquiry through final delivery, with no intermediaries or undisclosed third-party team.

3. Quotes and Engagement

• Every project begins with an initial exchange, with a guaranteed response within 24 hours.
• A detailed quote is then provided within 48 hours, specifying scope, timeline, and pricing.
• The quote is valid for 30 days from its issue date. After this period, it must be reissued.
• The project officially begins upon receipt of the deposit (see Section 4).

4. Payment Terms

• A 50% deposit is due upon signing the quote / confirming the order, before work begins.
• The remaining 50% is due upon final delivery of the project, before final access and intellectual property are transferred (see Section 7).
• Payments are made via methods agreed upon by both parties (bank transfer, mobile money, or other mutually accepted method).
• Any delay in paying the balance may result in the suspension of final delivery and project access.

5. Timelines

Delivery timelines are specified in the quote and begin upon receipt of the deposit and all necessary materials from the client (content, text, images, access credentials). Any delay by the client in providing these materials will proportionally extend the delivery timeline, with no penalty to JoDev.

6. Revisions

Each project includes 3 rounds of revisions, covering adjustments within the initial scope of the quote (content, layout, visual details). Beyond the 3rd round, or for any request outside the initial scope (new feature, structural change), an additional cost proposal will be submitted before work begins.

7. Intellectual Property

• Deliverables (code, design, content created specifically for the project) remain the property of JoDev until the balance is paid in full.
• Upon receipt of full payment, ownership of the delivered site/application is transferred to the client, including the source code of the project, except for third-party licensed elements (themes, plugins, fonts, libraries), which remain subject to their own licenses.
• JoDev retains the right to feature the completed project in their portfolio and marketing materials, unless a signed confidentiality agreement between the parties states otherwise.

8. Post-Delivery Warranty

JoDev provides a 1-month warranty from the final delivery date, covering exclusively bug fixes related to the delivered scope (technical malfunctions attributable to the original development). This warranty does not cover:

• New features or enhancements
• Content changes
• Issues caused by third-party intervention on the site after delivery
• Failures related to third-party services (hosting provider, domain, external APIs)

Beyond this period, any maintenance or enhancement request is treated as a separate service, billed independently.

9. Client Obligations

The client agrees to:

• Provide all necessary content, access, and information within the agreed timelines
• Validate project milestones within a reasonable time to avoid delaying delivery
• Pay amounts due according to the agreed schedule

10. Liability

JoDev commits to using the necessary means to deliver quality work in line with professional standards. JoDev's liability cannot be engaged in the event of:

• Indirect damages (loss of revenue, loss of data not backed up by the client)
• Malfunction of a third-party service (hosting provider, CMS, API, payment platform)
• Use of the site/application not in accordance with the guidance provided at delivery

11. Cancellation / Termination

• The client may cancel a project in progress in writing. In this case, the deposit paid remains with JoDev to cover work already engaged, and any work performed beyond the deposit amount will be invoiced pro rata.
• JoDev reserves the right to suspend or terminate a service in the event of non-payment, prolonged failure by the client to provide necessary materials, or conduct that makes continuing the project impossible under normal conditions.

12. Confidentiality

JoDev agrees not to disclose sensitive or confidential information shared by the client in the context of the project, except with express authorization or where legally required.

13. Governing Law and Jurisdiction

These terms are governed by the laws of Benin. Any dispute not resolved amicably falls under the jurisdiction of the courts of Abomey-Calavi / Cotonou, Benin.

14. Changes to These Terms

JoDev reserves the right to modify these Terms of Service at any time. The applicable version is the one in effect at the date the quote is signed.
